1. The Author hereby warrants and represents that any and all materials prepared by the Author and submitted to and published by Serr.biz LLC / TopNYCapts.com (such material, the “Article”) is the Author’s original work not published elsewhere in whole or in part, and the Author is the sole owner and has the power, sole legal right and authority, and does not need the permission of any person or entity, to enter into this Agreement, to submit the Article to Serr.biz LLC for publication and to grant to Serr.biz LLC all rights in the Article as set forth below.

2. With respect to any Article the Author hereby warrants and represents that the article is based upon his or her own independent opinions and judgments, and that the Article contains no matter libelous or otherwise unlawful or which invades the right of privacy or which infringes any proprietary right.

4. Upon the sooner of (i) the publication of an Article the Author hereby grants to Serr.biz LLC / TopNYCapts.com, its successors unlimited reprint rights of the Article hereafter protected by the Copyright Laws of the United States and all foreign countries, as well as any renewal, extension, or reversion of copyright of any such laws. If the Article is not accepted for publication, this transfer does not take effect.

5. Author agrees to indemnify Serr.biz LLC / TopNYCapts.com against any loss, liability or expense whatsoever from any damage arising from or in connection with the breach of any representation, warranty or provision of this Agreement.

6. Author understands there is NO COMPENSATION of any kind for the work submitted or published by TopNYCapts.com. However, a BY LINE will be given.
